Product Terms – Directory

INTRODUCTION

1. These Product Terms shall apply to each Agreement where the Confirmation Email includes one or more “Directory”.

2. Words and phrases used in these Product Terms shall have the same meaning as set out in the Master Service Terms unless otherwise set out below:

Approved Services means those Services provided by Us as further set out in the Product Terms – Approved.

Cancellation Deadline means the deadline for cancellation set out in the Renewal Notice.

Directory means the directory that We publish and distribute to homeowners in the Directory Area as set out in the Confirmation Email.

Directory Area means the geographical area that the Directory will be distributed to as set out in the Confirmation Email.

Directory Box means Your identified “box” of allocated advertisement space in the Directory as more particularly set out in the Confirmation Email.

Renewal Notice means the email notice sent by Us to You notifying You of the details of a Directory autorenewal, including (but not limited to) the date of the next edition, the Cancellation Deadline and the corresponding Fees.

3. Unless otherwise set out in the Terms or agreed between Us and You, a Directory is non-cancellable and non-refundable.

4. We may from time to time at Our sole discretion and without notice to You amend the boundaries of the Directory Area.

OUR OBLIGATIONS

5. We shall include Your Directory Box in the Directory.

6. We shall give You an opportunity to review the content of Your Directory Box before publication and You can provide Us with feedback on that content, however We will retain the full right and discretion with regards to the content that is published.

7. We do not guarantee that the Directory will be received by all or any particular households within the Directory Area.

8. We may provide You with a separate Secure Contact for any Directory Box(es) You are included in and We reserve the right to suspend or redirect that Secure Contact at any time following the expiry of the applicable Directory (or Directories).

YOUR OBLIGATIONS

9. Your inclusion in the Directory is conditional upon You having an Agreement including Approved Services at the date that the Directory goes to print (the “Print Deadline”).

10. If You do not have an Agreement including Approved Services two (2) months before the Print Deadline, or We reasonably believe that You will not have an Agreement including Approved Services at the Print Deadline, We reserve the right to remove Your Directory Box from the Directory.

11. If Your Approved Services are terminated or expire after the Print Deadline, the Secure Contact number will be diverted to Us.

12. Paragraphs 10 and 11 are without prejudice to Your obligation to pay for the Fees for the Directory Box, except where termination is by You due to Our breach of the Agreement.

AUTORENEWAL

13. We may automatically include You in the next edition of the same Directory (or Directories) and will send You a Renewal Notice in relation to such inclusion.

14. If You do not wish to be included in the next edition of the Directory, You must notify Us by calling the telephone number in the Renewal Notice as soon as possible following receipt of the Renewal Notice, but no later than the Cancellation Deadline.

15. We reserve the right to charge You for the Directory if You do not call Us to cancel in accordance with paragraph 14 above.

PAYMENT

16. Unless agreed otherwise at point of sale and set out in the Confirmation Email, we will invoice You for the Fees for the Directory Box in two equal instalments.

17. The first instalment will be invoiced to You in the month the Directory is published and the second instalment will be invoiced in the month after the Directory is published.

18. Payment of the Fees for the Directory shall be due immediately on receipt of an invoice from Us.
